<Summary>

Due to increasing regulatory activity and greater awareness of reputational risks associated with compliance failures, more Japanese companies are conducting pre-acquisition ABC due diligence.
Government authorities across the globe emphasise the importance of pre-acquisition due diligence. The US “DOJ and SEC encourage companies to conduct pre-acquisition due diligence”, the UK Ministry of Justice notes that due diligence is “particularly important” in the context of “a merger of commercial organisations or an acquisition of one by another” and Japan’s Ministry of Economy, Trade and Industry, highlights the need for “Pre-contract confirmation procedures” including “due diligence”.
In this seminar, Tess Forge, Counsel at Clifford Chance Tokyo who specializes in ABC due diligence, and Ben Fouracre, Managing Director and Head of the APAC Global Investigations Practice at J.S. Held , will provide tips on how to ensure your ABC due diligence is adequate and will stand regulatory scrutiny, will discuss the common types of risks identified and will use case studies to provide practical recommendations on how to mitigate such risks.

Tess specializes in white collar defense representing companies in all aspects of their financial crimes compliance efforts, including: conducting internal investigations; defending companies in government investigations; conducting risk assessments; and developing and implementing compliance programmes.
