After choosing the entry vehicle it is necessary to consider what the key laws affecting the business are, especially whether a business can commence immediately or whether there are licenses or other compliance matters to be dealt with before commencing business, for example:

Case 1:Setting up a wholly-owned subsidiary (WOS)−pre-incorporation funding of WOS by foreign parent without considering the foreign exchange law implications and failing to consider indirect tax impact affecting the price of the product.
Case 2:Acquisition of a real estate company−actual title verification at the local land registry and not only documentary due diligence.
Case 3: Remitting share subscription funds to the Indian subsidiary through tax advisors’ account instead of direct remittance−necessary to obtain a separate relevant approval.
Case 4: Acquiring a manufacturing company without appropriate safeguards−failing to notice erosion of value of asset and no recourse to indemnity.
Case 5: Distribution of a new chemical product without assessing import duties and clearance processes−delay in customs clearance leading to delay in distribution under the local contract.
